Terms & Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Student” or “User”) and Upnova Institute (“we”, “us”, or “our”) governing your use of our website at upnovainstitute.com, your enrolment in any of our live online courses, and your use of the student dashboard and all related services.

These Terms are governed by the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019.

Acceptance of Terms

By accessing our website, creating a student account, completing a course purchase, or attending any live session, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions, along with our:

• Privacy Policy
• Refund & Cancellation Policy

Your acceptance of these Terms forms a binding contract between you and Upnova Institute from the moment you complete your course enrolment payment.

Who We Are

Eligibility

To enrol in any Upnova Institute course, you must meet all of the following criteria:

• You must be 18 years of age or older. We do not offer courses to minors.
• You must have the legal capacity to enter into a binding contract under Indian law.
• You must provide accurate and truthful information during registration and checkout.
• You must have access to a laptop or desktop computer with a stable internet connection capable of running live Zoom sessions.
• You must not be enrolling on behalf of a competitor for the purpose of gathering course content or business intelligence.

Course Enrolment

Enrolment in an Upnova Institute course is confirmed only upon successful completion of payment. A confirmation will be sent to your registered email and WhatsApp number within 24 hours of payment.

4.1 Seat Availability

Each live cohort is limited to 40 students to maintain session quality and mentor attention. Enrolment is on a first-come, first-served basis. Completing the payment process does not guarantee a seat until payment is confirmed by Razorpay and our team.

4.2 Enrolment Confirmation

Upon confirmed enrolment you will receive: a WooCommerce order confirmation email, a WhatsApp welcome message from our team, access to the private student community, and login credentials for the student dashboard.

4.3 Batch Assignment

You will be assigned to the next available batch of your chosen course based on your preferred batch timing (Weekday or Weekend). You may request one free batch transfer as per our Refund & Cancellation Policy.

4.4 Course Start Date

The next cohort starts May 5, 2026. Batch timings are Mon/Wed/Fri 7–9 PM IST (Weekday) and Sat/Sun 10 AM–12 PM IST (Weekend). Dates are subject to change with a minimum of 7 days’ notice via WhatsApp and email.

Payments & Fees

5.1 Course Fees

Course fees are displayed in Indian Rupees (₹) inclusive of all applicable taxes. Fees are subject to change. The fee at the time of your payment is the fee applicable to your enrolment — price changes after payment do not affect your enrolment.

5.2 Payment Gateway

All payments are processed securely through Razorpay, a Reserve Bank of India (RBI) regulated payment gateway. We accept UPI, credit cards, debit cards, net banking, and No-Cost EMI options.

5.3 GST & Taxes

Course fees include applicable Goods & Services Tax (GST) as per Indian tax law. A GST invoice will be issued upon request. To request a GST invoice, message us on WhatsApp with your GSTIN after purchase.

5.4 Failed Payments

If your payment fails or is declined, your enrolment will not be confirmed. Any amount debited for a failed transaction will be automatically refunded by Razorpay to your account within 5–7 working days. Please do not reattempt payment before confirming with your bank that the original amount has been reversed.

5.5 No-Cost EMI

No-Cost EMI options are available through select banks via Razorpay. EMI eligibility is determined by your bank, not by Upnova Institute. If you are offered an EMI option at checkout, the terms of that EMI are between you and your bank. Upnova Institute receives the full course fee upfront from Razorpay.

Course Delivery

6.1 Live Sessions

Courses are delivered as live interactive Zoom sessions. Session links will be shared via WhatsApp and your student dashboard before each class. You are responsible for having a working device, stable internet connection, and a functioning Zoom account (free tier is sufficient).

6.2 Session Recordings

Every live session is recorded in full HD and uploaded to your student dashboard within 6 hours of the session ending. Recordings are accessible for 6 months after your batch ends. After 6 months, recording access will expire unless extended by a paid recording extension (if available).

6.3 Curriculum Changes

Upnova Institute reserves the right to update course curriculum, tools, and session content at any time to reflect industry changes and employer requirements. Core learning outcomes will not be reduced. We will notify students of significant curriculum changes via WhatsApp with at least 7 days’ notice.

6.4 Mentor Availability

In the rare event that a scheduled mentor is unavailable for a session, Upnova Institute will either arrange a qualified substitute mentor or reschedule the session. Mentor changes do not constitute a breach of contract and are not grounds for a refund.

6.5 Force Majeure

Upnova Institute shall not be liable for delays or failure to deliver sessions caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government-imposed shutdowns, prolonged internet outages, or platform failures (e.g., Zoom outages). In such events, affected sessions will be rescheduled at the earliest opportunity.

Student Dashboard & Account

7.1 Account Security

Your student dashboard login credentials are personal and non-transferable. You are responsible for maintaining the confidentiality of your username and password. Sharing your login credentials with any other person is a serious violation of these Terms and will result in immediate account termination without refund.

7.2 Prohibited Account Activity

• Sharing login credentials with anyone not enrolled in the course.
• Using automated bots, scrapers, or scripts to access course content.
• Attempting to download, copy, or redistribute course recordings or materials.
• Accessing another student’s account without authorisation.

7.3 Account Termination

Upnova Institute reserves the right to terminate your account and access immediately if any of the above violations are detected. Terminated accounts are not eligible for refunds.

Student Code of Conduct

Upnova Institute is committed to maintaining a respectful, safe, and productive learning environment for all students and mentors. The following conduct standards apply to all live sessions, WhatsApp communities, and any interaction with Upnova Institute staff or fellow students.

Violations of this Code of Conduct may result in a warning, temporary suspension, or permanent removal from the course and community — at Upnova Institute’s sole discretion. Students removed for conduct violations are not eligible for refunds.

Intellectual Property

9.1 Ownership

All course content, including but not limited to live session recordings, lecture slides, written materials, assignments, frameworks, templates, and the curriculum structure, is the exclusive intellectual property of Upnova Institute and is protected under the Copyright Act, 1957 (India).

9.2 Your Licence

By enrolling, you receive a personal, non-transferable, non-exclusive licence to access and use course materials solely for your own private learning during the course duration and for the recording access period of 6 months.

9.3 Prohibited Uses

• Reproducing, copying, or distributing course content in any form.
• Uploading recordings or materials to YouTube, social media, or any platform.
• Using course frameworks or templates to create a competing educational product.
• Selling, sublicensing, or sharing course access with any third party.

9.4 Student Work

Projects, assignments, and creative work produced by students during the course remain the intellectual property of the student. Upnova Institute may request permission to showcase student work as portfolio examples or testimonials, but will never do so without your explicit written consent.

Certificates & Credentials

10.1 Eligibility for Certificate

To receive your Upnova Institute completion certificate you must:

• Attend a minimum of 80% of all live sessions in your batch.
• Submit all required assignments and projects by the deadlines set by your mentor.
• Submit your final project and receive a passing review from your mentor.
• Not have any outstanding conduct violations or account suspensions.

10.2 NSDC Affiliation

Upnova Institute is affiliated with the National Skill Development Corporation (NSDC). Our certificates carry NSDC affiliation and are recognised by a wide range of Indian employers. Certification status does not constitute a government qualification or guarantee of employment.

10.3 Certificate Validity

Upnova Institute certificates do not expire. However, in the rapidly evolving fields of AI and Digital Marketing, we recommend supplementing your certificate with ongoing learning. We maintain a permanent record of all certificates issued for verification purposes.

Placement Support

11.1 What We Provide

Upnova Institute offers structured placement support — not a contractual job guarantee. Our placement support includes portfolio reviews, mock interviews, LinkedIn profile optimisation, resume feedback, and referrals to our hiring partner network.

11.2 Conditions for Placement Support

Placement support is available to students who have:

• Completed the full course with minimum 80% session attendance.
• Submitted and received passing reviews on all required projects.
• Received their completion certificate.
• Actively participated in at least one mock interview session.

11.3 No Employment Guarantee

Upnova Institute does not guarantee employment, a specific salary, or placement with a specific employer. Our 87% placement rate reflects the percentage of eligible graduates who secured employment or freelance income within 90 days — it is a performance metric, not a contractual commitment to any individual student.

Limitation of Liability

To the maximum extent permitted by applicable Indian law, Upnova Institute’s total liability to you for any claim arising from these Terms, your enrolment, or your use of our services shall not exceed the total fees paid by you for the specific course giving rise to the claim.

Upnova Institute shall not be liable for:

• Loss of income, employment opportunity, or profit arising from course outcomes.
• Any indirect, consequential, or incidental damages of any kind.
• Technical issues arising from your own device, browser, or internet connection.
• Third-party platform failures, including Zoom outages or Razorpay downtime.
• Actions taken by other students in the community or live sessions.

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

Termination of Enrolment

13.1 Termination by Student

You may withdraw from a course at any time. Refund eligibility is governed exclusively by our Refund Policy. Withdrawing from a course does not automatically entitle you to a refund.

13.2 Termination by Upnova Institute

Upnova Institute reserves the right to terminate your enrolment and account access without refund if you:

• Violate any part of this Code of Conduct (Section 8).
• Share your account credentials or course materials with unauthorised parties.
• Provide false information during registration or checkout.
• Engage in fraud, including filing illegitimate chargebacks.
• Harass, threaten, or abuse any Upnova staff member or fellow student.

Privacy

Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you also accept our Privacy Policy.

We collect and process your personal data only as described in our Privacy Policy, in compliance with the IT Act 2000 and IT (Reasonable Security Practices) Rules, 2011.

Changes to These Terms

Upnova Institute reserves the right to update these Terms at any time. When we make material changes, we will:

• Update the “Last Updated” date at the top of this page.
• Notify active students via WhatsApp at least 14 days before changes take effect.
• Post a notice on our website homepage for 30 days.

Your continued use of our services after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree with the updated Terms, you must cease using our services and contact us regarding your enrolment.

Governing Law & Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in West Bengal, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation, with a minimum 30-day resolution period from the date of written notice of the dispute.
